Terms and Conditions of Sale — Partner Companies
Contractual framework governing the partnership between Lukoumé and transport companies (bus and boat) in Gabon.
These Terms and Conditions of Sale (T&Cs) apply exclusively to transport companies (bus, boat) wishing to join the Lukoumé network and distribute their tickets via the platform. They supplement the partnership contract signed between the parties and constitute an enforceable contractual document.
They are governed by the Gabonese Commercial Code, Law no. 002/2016 on electronic transactions, Law no. 036/2018 on the protection of personal data and CEMAC regulations on mobile payments.
01Scope
These T&Cs exclusively govern the relationship between Lukoumé and any legal entity operating a passenger transport activity (bus, minibus, boat, motorised pirogue) on Gabonese territory or Gabonese waterways, wishing to distribute its seats via the Lukoumé platform.
For the conditions applicable to individual travellers, see the Traveller T&Cs.

03Acceptance and formation of the partnership contract
The partnership is concluded by signing a Partnership Agreement between Lukoumé and the Company, of which these T&Cs form an integral part. In the event of contradiction, the Partnership Agreement prevails over these T&Cs.
The signing representative declares that they are duly authorised to bind the Company and that the Company is in good standing with the Gabonese transport authorities (licences, approvals, insurance).
Publishing the first trip on the Platform constitutes full and unreserved acceptance of these T&Cs in their version in force.
04Access to the platform
Lukoumé creates a dedicated administration account for each Partner Company, giving access to the dashboard, trip management, manifests and financial reports.
The Company is solely responsible for the confidentiality of its credentials and any action taken from its account. It undertakes to notify Lukoumé immediately in the event of unauthorised access.
Lukoumé reserves the right to suspend access in the event of a breach of these T&Cs, with prior notice except in the event of proven emergency (fraud, security).
05Commission and financial flows
Lukoumé centralises all Travellers' Mobile Money payments on its operator account. The financial flow is as follows:
The Company freely sets its Carrier Price. The Lukoumé service fees (7%) are added on top of the Carrier Price to form the Total Price shown to the Traveller, so that the Company receives the full amount of its fare.
Funding of discount vouchers
When the Company cancels a trip, Lukoumé issues a discount voucher to the affected Travellers. The cost of this voucher is deducted from the payouts due to the Company for the current billing period. The Company is informed of this on the summary statement accompanying each payout.
In the event of a cancellation attributable to Lukoumé (Platform failure), the discount voucher is entirely borne by Lukoumé and is not deducted from the Company's payouts.
06Payouts and invoicing
Payouts are made according to the frequency defined in the Partnership Agreement (weekly or monthly), to the Mobile Money or bank account designated by the Company.
Each payout is accompanied by a detailed summary statement indicating: the number of tickets sold, the gross turnover, the Lukoumé commission deducted and the net amount paid out.
In the event of a dispute over a payout, the Company has 15 days from receipt of the summary statement to notify Lukoumé in writing. After this period, the payout is deemed accepted.
All amounts are denominated in CFA Francs (XAF). No currency conversion is carried out.
07Obligations of the partner company
The Company undertakes to:
- Accuracy of information : Enter and keep up to date the trips, schedules, availability, fares and vehicle characteristics on the Platform.
- Honour bookings : Accept and perform any trip for which a Ticket has been sold via Lukoumé, under the published conditions.
- Notification of changes : Inform Lukoumé of any cancellation or substantial trip change as soon as possible, and no later than 4 hours before departure.
- Legal compliance : Hold all licences, authorisations, approvals and insurance required by Gabonese regulations on the transport of persons.
- Use of the scanner : Validate passengers' tickets exclusively via the Lukoumé scanner application at boarding.
- Confidentiality : Not disclose to third parties the personal data of Travellers transmitted by Lukoumé for any purpose other than the performance of the transport.

- Online sales exclusivity : Sell its tickets exclusively via the Lukoumé Platform for any online distribution channel (website, mobile application, social media, third-party aggregators). Physical sales at the station or counter remain free, but any digital sale must go through Lukoumé.
08Distribution exclusivity — online and at the station
Within the framework of their partnership, the Company undertakes to make Lukoumé its exclusive and sole ticket sales channel, across all channels — both online and in person. This exclusivity covers:
🌐 Online channels
- The Company's own website
- The Company's own mobile application
- Social media (Facebook, WhatsApp Business, Instagram, etc.)
- Third-party transport aggregators or comparison sites
- Any other remote digital channel
🏢 Physical sales at the station
- Station or terminal counter
- The Company's on-site sales agents
- Sale at departure (last-minute tickets)
- Any physical point of sale of the Company
✅ Lukoumé Counter feature
To enable physical sales at the station, Lukoumé provides a Counter feature integrated into the Platform. It allows the Company's agents to take payment in cash or by Mobile Money directly from the Lukoumé administration interface, in real time and without double entry. All counter sales are thus centralised in the dashboard and integrated into the payout statements.
⚠ Sanction in case of breach
Any ticket sale made outside the Lukoumé Platform — whether online or physical — constitutes a breach of this clause. Lukoumé will issue a formal notice. In the absence of remediation within 15 days, Lukoumé reserves the right to terminate the partnership with immediate effect, in accordance with article 13, without prejudice to any claim for damages.
08bisCancellation rate and financial penalty
Lukoumé continuously monitors the monthly ticket cancellation rate of each Partner Company, defined as the ratio between the number of cancelled tickets (following the cancellation of a trip by the Company) and the total number of tickets sold on the Platform during a calendar month.
Threshold and consequences
> 30%
of tickets
cancelled in the month
The ticket cancellation rate is calculated automatically based on the data recorded in the Platform. The Company can view its rate in real time from its dashboard, with the detail ticket by ticket.
Justified cancellations — exemption procedure
Cancellations resulting from a duly justified case of force majeure (extreme weather conditions, administrative requisition, mechanical breakdown certified by an approved garage) may be excluded from the rate calculation, upon written request sent to Lukoumé within 72 hours of the cancellation, accompanied by the corresponding supporting documents. Lukoumé rules within 7 days.
09Obligations of Lukoumé
Lukoumé undertakes to:
- Operational platform : Provide a functional and secure platform, with an availability target of 99% (excluding scheduled maintenance notified 48 hours in advance).
- Payment processing : Collect and secure Travellers' Mobile Money payments and carry out payouts within the agreed timeframes.
- Reporting : Provide the Company with real-time access to its sales statistics, occupancy rates and financial data.
- Technical support : Provide dedicated support for getting started with the tools and resolving technical incidents.
- Confidentiality : Treat the Company's commercial and financial information with the strictest confidentiality.
- Notifications : Alert the Company of any change to the T&Cs at least 30 days before they take effect.

11Passenger data and confidentiality
Lukoumé transmits to the Company the passenger data strictly necessary for the performance of the transport (surname, first name, trip, date, class) via the digital manifests.
The Company undertakes to process this data in accordance with Law no. 036/2018 on the protection of personal data in Gabon, to use it only for the purpose of performing the transport and not to transfer, sell or exploit it for other commercial purposes.
The data is transmitted via the secure Platform interface. The Company undertakes not to export it to unsecured systems and to keep it only for the time strictly necessary for the performance and monitoring of the transport.
12Liabilities
The Company is solely responsible for the performance of the transport contract towards the Travellers (on-board safety, punctuality, service quality, compliance with Gabonese transport regulations). It remains responsible for the validity of its approvals, licences and compulsory insurance.
Lukoumé is responsible for the proper functioning of the Platform, payment processing and payouts. Lukoumé declines all liability for incidents related to the performance of the transport.
Lukoumé's financial liability towards the Company is limited to the amount of the payouts due for the period concerned by the dispute.
Neither party may be held liable for a breach resulting from a case of force majeure (natural disasters, strikes, government decisions, Mobile Money network outages).
13Term, suspension and termination of the partnership
The term of the partnership is defined in the Partnership Agreement. Failing this, the partnership is concluded for an indefinite term.
Termination at the Company's initiative: 30 days' written notice. Bookings already confirmed must be honoured.
Termination at Lukoumé's initiative: 30 days' written notice, except in the event of serious misconduct by the Company (fraud, breach of legal transport obligations, non-compliance with these T&Cs), in which case termination takes effect immediately with notification.
Effects of termination: the Company can no longer create new trips on the Platform. The remaining payouts due are paid within 15 working days of the effective termination.
Lukoumé may also temporarily suspend access to the Platform in the event of a noted breach, after a formal notice that remains unanswered within 48 hours.
14Intellectual property
Lukoumé grants the Company a non-exclusive, non-transferable licence to use the Platform and its tools, for the sole duration of the partnership and solely for the purpose of managing its trips and passengers.
The Company authorises Lukoumé to use its name, logo and commercial information on the Platform solely for the purpose of marketing its tickets.
Upon expiry of the partnership, each party ceases to use the other's intellectual property elements.
15Applicable law and competent jurisdiction
These T&Cs and the Partnership Agreement are subject to the law of the Gabonese Republic and the applicable Commercial Code.
Any dispute not resolved amicably within 30 days will be submitted to the exclusive jurisdiction of the Commercial Court of Libreville (Gabon). In the absence of a competent commercial court, the Court of First Instance of Libreville will be seized.
